Terms
These Terms and Conditions apply to all transactions and engagements between the Client and Global Fashion Management (referred to as "GFM"). By proceeding with services from GFM, the Client accepts these Terms and Conditions in full.
1. Payment Processing
For your security and peace of mind, we process payments through STRIPE and PayPal, both trusted international payment providers. Accepted payment methods include credit cards such as Visa, MasterCard, Maestro, and Amex.
2. Engagement and Acceptance
GFM will commence work only upon written confirmation of the Client’s acceptance of our proposal, specification, fees, payment terms, and these Terms and Conditions.
The receipt of a first payment by GFM signifies full acceptance of these Terms and Conditions.
3. Fees and Expenses
All fees are exclusive of VAT unless the Client is a UK resident or UK-based company. Travel outside London required by the Client will be reimbursed by the Client.
Any costs requested by the Client, including but not limited to transportation, lodging, mileage (charged at 60p per mile), subsistence, couriers, trade show expenses, market research materials, reports, and presentation costs, will first be approved by the Client and invoiced as agreed.
Fees are net of all deductions; any bank, legal, or export payment fees, or costs incurred due to the Client’s bank, will be borne by the Client.
4. Cancellations and Refunds
Assignments are generally non-cancellable after acceptance and/or payment made. In special cases where both parties agree to terminate the project, fees for work completed and expenses, whether approved or not yet approved, up to the cancellation date will apply, and an administrative fee may also be charged. In exceptional cases where GFM agrees to a full cancellation and refund, a £150+VAT administrative fee will be deducted unless otherwise agreed in writing.
5. Confidentiality
GFM is committed to maintaining the confidentiality of all Client information. Similarly, all tools, forms, management processes, and proprietary information provided by GFM are confidential and intended solely for the Client’s use.
6. Validity of Proposals
Proposals and quoted prices are valid for 20 days from the proposal date. GFM reserves the right to amend the proposal after this period.
7. Scope of Work and Additional Charges
Should GFM be required to undertake additional, unforeseen work not specified in the initial proposal, this will incur an additional charge at the prevailing executive day rate. Any additional cost will be pre-approved by the Client.
8. Expenses and Invoicing
Expenses will be added to fee invoices as appropriate, or invoiced separately at the discretion of GFM. Payment terms for fees and expenses are 5 days unless otherwise agreed. All online payments are required in advance of services rendered.
GFM reserves the right to withhold data or results in the event of unpaid fees, as per the agreed terms.
9. Client Reference and Publicity
The Client gives GFM permission to use the Client's logo and name on GFM's client list and website, unless the Client requests removal in writing.
10. Best Efforts and Limitation of Liability
GFM operates on a best-effort basis to deliver projects as specified and within budget. In addition, GFM holds no liability for delays or performance issues arising from the Client's actions or external factors outside GFM's control.
GFM is not liable, financially or otherwise, for any adverse consequences resulting from services rendered.
11. Client Responsibilities and Project Timelines
The Client agrees to provide all necessary feedback, documentation, and updates in a timely manner. Delays or reduced project outcomes due to lack of response from the Client will not be the responsibility of GFM.
If the Client fails to provide feedback within 14 days of a request, GFM reserves the right to place the project on hold. After a period of 6 months with no Client engagement, GFM may close the file, with full fees required to resume work.
12. Intellectual Property
Ownership of all intellectual property (IP) created by GFM remains with GFM unless otherwise transferred in writing. Upon full payment, the Client receives a license to use the deliverables for agreed purposes.
13. Dispute Resolution and Jurisdiction
Any disputes arising under these terms will be resolved amicably between GFM and the Client. Should further action be necessary, this agreement shall be governed by and construed in accordance with the laws of England. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of London, England.
14. Force Majeure
GFM is not liable for any failure to fulfill its obligations due to events beyond its reasonable control, including natural disasters, strikes, pandemics, or other force majeure events.
